      This website is operated by ELM & ECHO APPAREL LTD under the trading name Elm Echo. We are a company registered in England and Wales and primarily offer our products to customers in the United States.

      Throughout these Terms, “Elm Echo,” “we,” “us,” and “our” refer to ELM & ECHO APPAREL LTD. “You” and “your” refer to the customer or website visitor.

      By visiting our website, creating an account, or purchasing from us, you agree to these Terms of Service (“Terms”), together with our Privacy Policy, Shipping Policy, Refund Policy, and any other policies made available at checkout. If you do not agree, please do not use the website.

Our registered office is an administrative address and is not a customer return location. Returns must be authorised in advance and sent only to the address provided in our return instructions.

2. ELIGIBILITY AND ACCEPTABLE USE

      You must be at least the age of majority in your state or jurisdiction, or have permission from a parent or legal guardian, to place an order.

      You may use the website only for lawful, personal shopping purposes. You must not misuse the website, introduce malicious code, interfere with its operation, attempt unauthorised access, commit fraud, or infringe the rights of others.

      We may suspend or refuse access where reasonably necessary to protect customers, the website, or our legal rights.

3. PRODUCTS AND INFORMATION

      We aim to describe and display products accurately. Colours and appearance may vary because of screen settings, lighting, manufacturing batches, and reasonable production tolerances. Measurements and specifications are approximate unless stated otherwise.

      Customers are responsible for checking product dimensions, compatibility, voltage, plug type, installation requirements, and intended use before purchase. Products intended for the United States will be identified where applicable, but you should review the product page and contact us before ordering if compatibility is unclear.

     We may correct typographical errors or inaccurate product information. If a correction materially affects an order already placed, we will contact you and provide an appropriate option, which may include cancellation and a refund.

4. PRICES, CURRENCY, TAXES, AND PAYMENT

      Prices shown to customers in the United States are normally displayed in U.S. dollars (USD), unless the website or checkout clearly indicates another currency. The final price, shipping charge, applicable tax, and any other required fee will be shown at checkout before payment.

      We may change prices prospectively at any time. A price change will not affect an order already accepted, except in the case of an obvious pricing error that a reasonable customer would recognise.

      Sales tax may be calculated, collected, and remitted where required by applicable U.S. federal, state, or local law. You remain responsible for any tax or charge that the law requires you to pay and that was not collected at checkout.

      Payment is processed through Shopify or other third-party payment providers. You represent that you are authorised to use the payment method submitted.

5. ORDERS AND CONTRACT FORMATION

       Submitting an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily mean that we have accepted the order.

       We accept an order when we send a shipping confirmation or otherwise expressly confirm fulfilment. We may decline or cancel an order before acceptance for reasons including unavailable stock, payment failure, suspected fraud, shipping restrictions, an obvious pricing error, or incorrect customer information.

      If we cancel an order after payment, we will refund the amount paid for the cancelled items and any related shipping charge using the original payment method, subject to normal processing times.

      You are responsible for providing complete and accurate delivery and contact information. Contact us promptly if you notice an error. We cannot guarantee changes after fulfilment has begun.

6. FULFILMENT, SHIPPING, AND DELIVERY

      We primarily serve customers in the United States. Products may be fulfilled by third-party suppliers or warehouses located in the United States or other countries.

      Estimated processing and delivery times are stated in our Shipping Policy, product pages, or checkout. These are estimates unless we expressly guarantee a delivery date.

      For orders covered by United States law, we will ship within the time stated in our advertising or order information. If no shipment time is stated, we will ship within the period required by applicable law. If a material delay occurs, we will provide notice and, where required, request your consent to the delay or offer cancellation and a prompt refund.

       Delivery can be affected by carriers, weather, customs, security checks, incorrect addresses, or other events outside our reasonable control. We will provide reasonable assistance with delivery issues, but this does not remove any rights you have under applicable law.

       Any customs duty, import tax, or brokerage charge that may apply will be disclosed where reasonably possible. You are responsible for charges lawfully imposed on you unless checkout states that they are included.

7. CANCELLATIONS, RETURNS, AND REFUNDS

        Elm Echo voluntarily offers a 7-day return policy, subject to the eligibility requirements and procedures set out in our Refund Policy. This policy is in addition to, and does not replace, any non-waivable rights available under applicable law.

        You may request a return within 7 days of receiving your order. Returned products must be in substantially the same condition as received and include the original packaging, accessories, manuals, labels, and any complimentary items. The product model and serial number must match the original order.

        Customers may reasonably inspect a product. We may refuse a return or reduce the refund if a product shows clear signs of use, damage, disassembly, modification, improper handling, or a resulting loss in value. This does not apply where the product itself is faulty.

       You may request cancellation before fulfilment begins. We cannot guarantee cancellation once an order has entered processing or has shipped.

       If a product arrives faulty, damaged, materially not as described, incomplete, or incorrect, please contact us promptly with your order number and clear supporting photographs or videos. We will assess the issue and provide an appropriate remedy, which may include a replacement, exchange, repair, partial refund, or full refund.

       The 7-day return policy generally does not apply to customized or personalized products, activated software or digital licenses, devices linked to an account that cannot be removed, products modified or repaired without authorization, or products with removed or altered serial numbers or tamper-evident seals.

       These exclusions do not affect your legal rights where a product is faulty, damaged, misdescribed, or otherwise fails to meet applicable legal requirements.

       Do not send products to our registered office or any other address without prior written authorization. The correct return address may vary depending on the product and fulfilment warehouse.

       Approved refunds will be issued to the original payment method. Full eligibility requirements and instructions are set out in our Refund Policy.

8. PROMOTIONS, DISCOUNTS, AND GIFT CARDS

        Promotions and discount codes are subject to the conditions displayed with the offer. Unless stated otherwise, promotions cannot be combined, have no cash value, and may be limited by customer, order, product, or time period.

        Gift cards, if offered, are subject to applicable law and the terms displayed at purchase. Nothing in these Terms shortens any validity period required by U.S. federal or state law.

9. ACCOUNTS AND CUSTOMER INFORMATION

        You are responsible for maintaining the confidentiality of your account credentials and for activity through your account. Notify us promptly if you believe your account has been accessed without authorisation.

      You agree to provide current, complete, and accurate account and order information. Our collection and use of personal information are described in our Privacy Policy and applicable privacy notices.

10. INTELLECTUAL PROPERTY

      The website and its content, including trademarks, logos, text, graphics, photographs, product presentation, and layout, are owned by or licensed to Elm Echo and protected by intellectual property laws.

      You may use the website for personal, non-commercial shopping purposes. You may not reproduce, distribute, modify, publish, sell, or commercially exploit website content without our prior written permission, except as permitted by law.

11. REVIEWS AND USER CONTENT

        If you submit a review, photograph, comment, or other content, you confirm that it is accurate, lawful, and does not violate another person’s rights. You grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and display that content for operating and promoting Elm Echo, subject to applicable law and our Privacy Policy.

        We may remove content that is unlawful, misleading, abusive, infringing, or unrelated to the product experience. We will not suppress or manipulate honest reviews merely because they are negative.

12. THIRD-PARTY SERVICES AND LINKS

       The website may use or link to third-party services, including Shopify, payment processors, carriers, analytics providers, and social platforms. Those parties operate under their own terms and privacy policies.

       We are not responsible for third-party websites or services we do not control. This clause does not limit our responsibility for our own obligations or for service providers where applicable law makes us responsible for their acts.

13. WARRANTIES AND LIABILITY

       Nothing in these Terms excludes or limits any warranty, remedy, or liability that cannot lawfully be excluded under applicable U.S. federal or state law or the laws of England and Wales.

       To the fullest extent permitted by law, the website is provided on an “as available” basis, and implied warranties are limited only to the extent the law permits. Some states do not allow limitations on implied warranties, so a limitation may not apply to you.

         We are responsible for losses that are a foreseeable result of our breach of these Terms or failure to use reasonable care. To the extent permitted by law, we are not responsible for indirect, incidental, special, or consequential losses that were not reasonably foreseeable, or for business losses arising from personal consumer use.

        Products are intended for personal and household use unless expressly stated otherwise. You must follow all instructions and safety warnings. We are not responsible for damage caused by misuse, unauthorised modification, improper installation, or use outside the product’s stated purpose, except where caused by our breach of duty or a defect for which we are legally responsible.

        Because consumer laws vary by state, the exclusions and limitations in this section apply only to the maximum extent permitted in your jurisdiction.

14. EVENTS BEYOND OUR CONTROL

        Neither party is responsible for a failure or delay caused by events beyond its reasonable control, provided reasonable steps are taken to minimise the effect.

        This section does not require you to pay for goods not supplied and does not remove cancellation, refund, delivery, or other mandatory rights available under applicable law.

15. CHANGES TO THESE TERMS

         We may update these Terms prospectively to reflect changes in our business, services, technology, or legal obligations. The version in effect when your order is accepted will normally govern that order.

         Material changes will not retrospectively reduce your contractual or statutory rights. The current version and “Last updated” date will appear on this page.

16. SEVERABILITY AND WAIVER

        If any provision is found unlawful or unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision immediately does not waive our right to enforce it later.

17. GOVERNING LAW AND DISPUTES

         Because Elm Echo is operated by a company registered in England and Wales, these Terms and contracts made through the website are governed by the laws of England and Wales, without regard to conflict-of-law principles, except where mandatory law provides otherwise.

        If you are a consumer in the United States, nothing in these Terms deprives you of any non-waivable rights or remedies provided by applicable U.S. federal law or the law of the state where you live. Nothing in this section requires you to give up access to a court or forum that applicable law makes available to you.

        Before starting formal proceedings, please contact support@elmecho.com so we can try to resolve the concern promptly and fairly. This request does not suspend any limitation period or prevent either party from seeking urgent legal relief.
